Canada NewsWire

VANCOUVER, BC, Nov. 5, 2026 /CNW/ -- Etruscus Resources Corp. (CSE: ETR) (OTC: ETRUF) (FSE: ERR) (the "Company" or "Etruscus") is pleased to announce the closing of its previously announced non-brokered flow-through private placement (the "Financing") for gross proceeds of $200,000 (see news release dated October 28, 2026).

The Financing consisted of 2,857,142 flow-through common shares issued at a price of $0.07 per share. Proceeds will be used solely to advance exploration at the Company's 100%-owned Rock & Roll Property (the "Property") in British Columbia's Golden Triangle by incurring qualifying Canadian exploration expenditures.

The Financing completes the Company's funding for its planned 2026 exploration activities at Rock & Roll, including its ongoing property-wide ZTEM geophysical survey. With airborne data acquisition completed, the Company is advancing the interpretation of the survey results to identify potential concealed mineral systems, refine priority exploration targets and guide future drilling programs.

All shares issued pursuant to the Financing are subject to a statutory hold period of four months and one day from the date of issuance. A registered finder received finder's fees of $12,000. The Financing remains subject to final approval of the Canadian Securities Exchange ("CSE"), if applicable.

The flow-through shares will qualify as "flow-through shares" for the purposes of the Income Tax Act (Canada) (the "Act"). The proceeds will be used to incur qualifying "Canadian exploration expenses" within the meaning of the Act. The Company will renounce these expenses to the purchasers with an effective date no later than December 31, 2026, in accordance with the requirements of the Act.

This news release does not constitute an offer to sell or a solicitation of an offer to buy any of the securities in the United States. The securities have not been and will not be registered under the United States Securities Act of 1933, as amended (the "U.S. Securities Act"), or any state securities laws and may not be offered or sold within the United States or to U.S. Persons unless registered under the U.S. Securities Act and applicable state securities laws or an exemption from such registration is available.
